Whether it works for you is decided by three numbers and one clause: the minimum per color, the tonnage that minimum commits you to, and who owns the formulation in writing.

This article sets the three models side by side. It then works through how a minimum order quantity is set per color and per batch, who holds the formula, where certification stops, and how long the route from sample to shelf really takes.

It is written for distributors, importers and brand owners who are already in discussion with suppliers and need to compare two offers on the same terms.

What can carry your brand, and what cannot

The three models are separated by who owns the formulation, not by whose name is printed on the pail. In a private label floor coating agreement you buy material that already exists and the supplier prints your artwork. OEM resin flooring means the plant adjusts a base formulation to your performance target. Custom formulation starts from a specification and no formula at all.

Three names circulate for the same purchase. White label and contract manufacturing describe the model this page calls private label, while OEM is used loosely in export trade for deals that are really private label. This article keeps the stricter meaning: OEM changes the formulation, private label changes only the pack. A private label floor coating buyer is buying speed, while an OEM resin flooring buyer is buying differentiation.

What can carry your brand is the commercial surface: packaging, label, product name, color references, a co-branded technical data sheet, and your own application instructions. A distributor can build a complete identity on those six elements without touching the chemistry or the plant standing behind it.

What cannot carry your brand is a certificate issued to a manufacturing site. It names that site, not your label, and it does not move when the brand on the pail changes. The certification section sets out what that means for ISO 9001 and for a declaration of performance.

Table 1 puts the three models against the decisions a distributor actually has to make before signing.

Table 1: Private label, OEM and custom development compared on the terms a distributor negotiates.

Decision area

Private label

OEM

Custom development

Whose formula

Supplier’s existing formula

Supplier’s base, modified for you

New formula, built to your target

What changes

Pack, label, name, color range

One or two performance parameters

Chemistry, filler, cure profile

Minimum commitment

Lowest, but still per color

Middle, set by the trial batch

Highest, set by development runs

Time to first shipment

Shortest

Adds a trial and a re-test

Adds formulation and stability work

Dokumentation

Re-badged technical data sheet

Joint data sheet, your name first

New data sheet written for the product

Ownership risk

None, you license nothing

Depends on the wording

Depends entirely on assignment

Fits

A range you resell as-is

A range you want to differentiate

A market no catalog product serves

How minimum order quantity is calculated

Minimum order quantity is calculated per SKU, per color and per batch, not per order. That one sentence explains most of the unpleasant surprises in a first quotation. A plant does not open a mixing vessel for a few kilos of pigment paste, so the smallest run is fixed by the vessel and the batch record. A custom formulation run is fixed by three things instead: the trial batch, the stability test and the vessel.

A 500 kg minimum per color across twelve colors is a 6,000 kg commitment, which is a container loading decision rather than a sample decision. The same tonnage spread over two colors is a normal first order for a new brand. The 500 kg figure used here is an arithmetic example for comparison, not a quoted minimum from Kaida Paint or from any other plant.

The lever is range, not volume. Launch with two or three colors that cover the common specifications, settle the R class each zone needs, prove sell-through, then add the rest on the second order. Buyers who insist on a full twelve-color palette on day one usually pay for stock that sits for a year and ages past its shelf life. The same logic applies to OEM resin flooring, where a trial batch is a fixed cost whatever the color count.

Drums are commonly 200 kg and IBCs 1,000 kg, so the same tonnage arrives as five drums or one IBC. Small pails multiply handling, labeling and warehouse space without changing the tonnage. Pail count also sets your label run, because every pail carries its own printed label.

Tonnage only becomes money when you convert it to billable area. A 6–9 mm cementitious urethane build consumes far more material per square meter than a 2–4 mm epoxy build, so the same 1,000 kg is a different number of sellable square meters in each system. Ask every supplier for coverage per kilogram at your specified thickness before you compare price per kilogram.

Table 2: Minimum order quantity arithmetic for four launch plans at a 500 kg per-color minimum, used as an example only.

Launch plan

Colors

Total commitment

In 200 kg drums

In 1,000 kg IBCs

Comment

Test market

2

1,000 kg

5 drums

1 IBC

A normal first order

Regional range

4

2,000 kg

10 drums

2 IBCs

Fits a pallet rack, no container

National range

8

4,000 kg

20 drums

4 IBCs

Partial container load

Full palette

12

6,000 kg

30 drums

6 IBCs

About a third of a 20 ft container

Full palette, 20 kg pails

12

6,000 kg (300 pails of 20 kg)

not applicable

not applicable

Same tonnage, ten times the units

A private label floor coating order is therefore quoted on three numbers: kilograms per color, kilograms per batch, and the tonnage that fills the transport you intend to use. Ask for all three and the lead time attached to each before you compare prices, because a lower unit price on a larger minimum is not a lower cost.

Formula ownership and confidentiality

Formula ownership is settled by the assignment clause, not by who paid the development invoice. The formulator keeps the formula unless the agreement transfers it in writing, and that default survives a change of label, a change of packaging and a change of country. If the wording is silent, the formula is not yours.

Exclusivity is a separate term and it is normally paid for. An exclusive arrangement means the plant will not sell the same formulation to a competing brand in your territory for the stated period, and it usually carries a higher minimum or a fee. Confidentiality is narrower than exclusivity: it stops the plant from disclosing your specification, and it does not stop the plant from selling a similar product to someone else. It should also cover the custom formulation documents: trial records, pigment paste recipe and stability data.

The clause distributors forget is the exit. Ask what happens if the relationship ends: do you keep the formula, a license to have it made elsewhere, or nothing at all? Development work without an assignment clause leaves you with a product you cannot reproduce, which is a commercial trap rather than a technical one.

Two practical protections cost little. Keep a retained sample of every approved batch with a signed date, and make sure the technical data sheet you publish states the batch and revision it describes. If a dispute ever arises, those two records are the evidence of what “the product” was.

Certification boundaries: whose name goes on the certificate

Certification follows the site and the legal manufacturer, and no label can move it. ISO 9001 is issued to a site and cannot be transferred to your brand. CE marking under EN 13813 for resin screeds, or under EN 1504-2 for surface protection, names a manufacturer who remains responsible for the declaration of performance.

A distributor can be named on documents, and often should be named as the local contact. What a distributor cannot do is become the legal manufacturer by printing a logo. If your catalog says “certified” next to a product, the certificate behind that word belongs to the plant, and you should hold a copy with the scope and the expiry date visible.

This matters most in tenders. A public buyer or a large food group will ask for the declaration of performance and the factory production control record, not for a picture of a badge. A private label floor coating that arrives with clean, complete paperwork passes that check in an afternoon. One that arrives with a re-typeset certificate does not.

Three compliance words get borrowed badly: FDA does not certify or approve flooring, so an FDA-approved line in your catalog is a claim the material cannot carry. Food grade is a description rather than a certificate, so ask which test backs the word before you print it. HACCP is the plant’s management system, and the floor enters it as an audit clause on cleanability. HACCP International is a separate Australian certification body that certifies materials for suitability in food environments.

The honest position is also the simpler one. Sell the plant’s certification as the plant’s and describe your own role as brand owner and distributor. The same applies to OEM resin flooring: the declaration still names the plant, whatever the data sheet says at the top.

Labels, safety data sheets and local-language duties

A safety data sheet follows GHS or CLP with sixteen sections, and it must be supplied in the language of the country of sale. That is a legal duty on the supplier of the material, not a courtesy. A translated label without a translated safety data sheet is an incomplete shipment in most markets.

Labels carry hazard pictograms, the batch number, the production date and the shelf life. Translate them rather than relabeling over the original text, because the pictograms and the hazard statements have fixed wording in each language. A sticker placed over an English hazard panel leaves the hazard statement in the wrong language for the market, and that is the defect an inspector records.

Figure 1: Label content map for a private label floor coating pail. Every field shown is a legal requirement in at least one export market.

The practical test is a mock shipment. Print one label and one safety data sheet in the target language, hand them to a person who has never seen the product, and ask them to find the hazard class, the batch number and the shelf life. If any of the three takes more than a few seconds, the artwork needs another pass before the container is booked.

From first sample to first container: the private label floor coating timeline

A realistic lead time is built from three blocks. Samples take 2–3 weeks, first production takes 25–35 days, and sea freight takes 25–45 days, which puts a first delivery at 64–101 days before your own approval time. Customs clearance and local labeling go on top of that, and none of these stages compresses because a launch date was announced internally.

The stage buyers underestimate is their own. Sample approval, artwork sign-off and label translation sit between the plant’s sample dispatch and the production order, and they consume calendar time that no supplier can recover. Cure time before return to service sits outside all three blocks. A launch plan that allots two weeks for internal approval and nine weeks for production has the ratio backwards.

Figure 2: Container loading plan. Pallet dimensions and stacking height decide the real load, not the tonnage on the order.

Container loading has its own arithmetic. A 20 ft container carries roughly 18–20 tonnes of packaged material, but drums and IBCs do not fill space the way tonnage suggests. Pallet dimensions and stacking height determine how much actually goes in, and a mixed load of pails and drums usually leaves void space that a pure drum load would not. That wastes container loading space and adds handling time, which is where a quoted lead time usually slips.

Table 3: Timeline from sample to shelf, with cumulative days from the sample request.

Stage

Duration

Cumulative

Who controls it

Sample production and dispatch

2–3 weeks

14–21 days

Plant

Sample approval and artwork sign-off

Buyer’s internal process

not fixed

You: approval, artwork, translation

First production run

25–35 days

39–56 days plus approval

Plant

Sea freight

25–45 days

64–101 days plus approval

Carrier and route

Customs and local labeling

Variable

not fixed

Importer: add before any shelf date

Warehouse and shelf

Your decision

not fixed

You: promise a date only after this point

Documents to request before a first order

Ask for the pack before you ask for the price. The seven items below are what a serious buyer reads first, and a supplier who cannot produce them quickly is telling you something about the batch record. The same pack becomes your own sales file later.

A certificate of analysis for each batch, not one example certificate from last year.

The retained sample policy: how long samples are kept and who signs them off.

Shelf life and storage conditions, including the temperature range for the warehouse.

VOC content, stated by test method rather than as a marketing claim.

A chemical resistance table for the formulations you are buying.

The application guide that your contractors will actually use.

The name and location of the plant that will make the material.

A technical data sheet that states thickness limits, temperature windows, pot life, shelf life and chemical resistance ranges is worth more than a folder of badges alone. The same list applies equally to private label goods and to OEM resin flooring made to your own specification.

Custom formulation buyers should add two items to the list: the trial batch report from development, and the accelerated stability data behind the stated shelf life. If the data sheet avoids numbers, the formulation is not documented well enough for you to defend a specification in front of a customer.

Commercial structures: toll blending, exclusivity, co-branding

Three structures cover most distributor arrangements, and they differ in who carries the inventory risk. In toll blending you hold the formula and the plant blends to your instruction, which puts the raw material purchase in your hands while the batch record stays with the plant.

That structure suits a brand that already paid for a custom formulation and does not want to pay for it twice. In a standard supply agreement the plant holds the formula and you buy finished goods. Co-branding sits between them, with a shared technical data sheet and two names on the pail.

Exclusivity is a term you buy, not a term you receive. Expect it to be priced as a minimum volume commitment, a territory limit or a fee, and expect it to expire. Write the renewal condition into the agreement on day one, because renegotiating exclusivity after your brand has grown is expensive.

For a private label floor coating range, the structure that fails most often is a co-branded data sheet with no agreement on who answers a technical complaint. Decide that in writing. The plant answers for the material, you answer for the application advice you give, and the customer is told which is which before the first pallet ships. Warranty is where a distributor most often promises more than it owns: offer only what the plant gives you in writing, and keep the catalog period and the plant’s period identical.

Three smaller terms are worth the negotiation time. Agree the notice period for a formulation change, so a reformulation never reaches you as a surprise mid-project. Agree the price review mechanism, because a fixed price across a two-year term is a promise that neither side can keep when raw materials move. Agree the lead time review and the container loading plan at the same meeting.

Frequently asked questions

How many colors can I launch a private label floor coating with?

Start with two or three colors and add the rest on a second order. Every color carries its own minimum, so twelve colors multiplies the commitment behind a private label floor coating twelve times before you have sold a single unit. A narrow launch also keeps warehouse space and label inventory under control while you learn which colors your market actually buys.

Is a private label floor coating cheaper than OEM?

Usually yes, because no formulation work, trial batch or re-test sits behind it. The gap narrows when you need a property the existing formula does not have, since OEM work adds development and stability testing. Compare total landed cost per kilogram at the same performance level rather than comparing unit prices from two different specifications.

Who owns the formula if I pay for custom development?

Formula ownership stays with the formulator unless the agreement assigns it to you in writing. Paying for development does not transfer ownership by itself, and a purchase order is not an assignment. Ask for an explicit assignment clause or a license that survives termination, and read the exit paragraph before you sign anything.

Can my brand appear on the ISO 9001 certificate?

No. ISO 9001 belongs to the site that was audited, so it stays there and cannot be reissued in a distributor’s own name. You can refer to the plant’s certification in your own material if the wording is accurate, and you should keep a copy of the certificate with the scope and expiry date attached.

What must be translated on the label and the safety data sheet?

The label’s hazard statements, pictograms and directions, and the full sixteen-section safety data sheet, must be in the language of the country of sale. Batch number, production date and shelf life stay legible in that language too. Translating the label alone and shipping an English data sheet is a defect, not a shortcut.

How long does the first order take from sample to shelf?

Plan on 2–3 weeks for samples, 25–35 days for first production and 25–45 days for sea freight, then add customs and local labeling. That puts a realistic first delivery at roughly 64–101 days plus your own approval time. A shorter promise usually means a stage has been left out of the plan.

What is the smallest sensible first order?

The minimum order quantity is best spent on two colors, packed in drums rather than pails and shipped as a partial container load. That gives you a sellable range, a manageable unit count and a real batch record to show buyers. Pails on a first order add handling cost before you know the demand.

Why food plants work with Kaida
